Terms of Service

These terms govern use of Meritt's trust infrastructure for businesses—including dashboards, customer repayment data you provide, scoring, and APIs. They apply to you and, where you act for a company, that company.
1. ACCEPTANCE OF TERMS
By creating an account or using Meritt on behalf of yourself or an organization, you agree to these Terms. If you do not agree, do not use the service. If you use Meritt for a business, you represent that you have authority to bind that business to these Terms.
2. WHAT MERITT IS
Meritt provides software and data services for businesses and platforms—starting with organizing repayment history, computing reputation and reliability signals, and exposing them through dashboards, embeddable experiences, and APIs. Meritt does notprocess, hold, transmit, or facilitate the movement of your customers' funds. Repayment and settlement occur entirely outside Meritt. Meritt is not a bank, lender, money transmitter, payment processor, or credit reporting agency under the Fair Credit Reporting Act (FCRA) unless we separately agree in writing.
3. ACCOUNTS
You must provide accurate registration and business information and keep credentials secure. You must be at least 18 years old to enter into these Terms on behalf of a business, or the age of majority in your jurisdiction if higher. Accounts are for identified operators; shared credentials should be limited to people authorized to act for the business. You are responsible for all activity under your account.
4. YOUR CUSTOMER AND REPAYMENT DATA
When you import, enter, or transmit customer or repayment data, you represent that you have the legal right and, where required, appropriate notices and consents to use that data with Meritt for the purposes you configure (e.g., scoring, API responses). You are responsible for accuracy, lawful basis, and honoring data subject requests for information you control. Meritt processes such data to provide the service you request, not for its own unrelated purposes.
5. ACCEPTABLE USE
You agree NOT to: (a) submit false or fraudulent data to manipulate scores or deceive counterparties; (b) use Meritt in violation of applicable law, including sanctions, privacy, or lending rules that apply to you; (c) probe, overload, or abuse the APIs or platform; (d) attempt unauthorized access to other users' data; (e) reverse engineer or scrape the service except as allowed by law; (f) resell or sublicense the service without our written consent.
6. SCORES AND REPUTATION OUTPUTS
Scores and similar outputs are algorithmic and derived from data in the platform. They are not guaranteed to be accurate or complete and are not consumer credit reports or FCRA-regulated reports unless we expressly agree otherwise in writing. Do not use them as the sole basis for high-stakes eligibility, lending, or employment decisions without appropriate human review and compliance work on your side.
7. MERITT PLUS AND BILLING
Meritt Plus is an optional paid subscription for workspace features described in the product (including, at launch, unlimited group tabs and Plus indicators on a public profile when sharing is enabled). The current list price is ninety-nine U.S. dollars ($99) per month, plus applicable taxes, unless a different price is shown at checkout or in an order you accept. Payment is processed by Stripe; we do not store full payment card numbers on Meritt servers. Subscriptions renew monthly until you cancel in the Stripe customer portal or as otherwise provided in the product. Access to Plus features ends when the paid period ends. Unless required by law, fees already paid are generally non-refundable. We may change Plus pricing or features with reasonable notice; continued use after a price change may constitute acceptance.
8. API KEYS AND INTEGRATIONS
API keys are confidential. You are responsible for calls made with your keys. We may rate-limit, suspend, or rotate keys to protect the platform. You must not expose keys in client-side code or public repositories.
9. VERIFIED AND BADGE FEATURES
Badges or "verified" labels reflect internal checks at a point in time. They are not financial background checks, credit checks, or Meritt's endorsement of your business.
10. INTELLECTUAL PROPERTY
Meritt owns the service, brand, and documentation. You retain rights to data you submit. You grant Meritt a license to host, process, and display that data as needed to operate the product for you.
11. DISCLAIMERS AND LIMITATION OF LIABILITY
The service is provided "as is." To the fullest extent permitted by law, Meritt disclaims implied warranties and is not liable for indirect, incidental, special, or consequential damages, or for losses from decisions you or third parties make using scores, exports, or API responses. Our aggregate liability arising out of these Terms is limited to the greater of (a) amounts you paid to Meritt in the twelve months before the claim or (b) one hundred U.S. dollars, except where limitation is prohibited by law.
12. SUSPENSION AND TERMINATION
We may suspend or terminate access for material breach, risk to the platform, or legal requirement. You may stop using Meritt at any time. Provisions that by nature should survive (e.g., liability limits, your obligations regarding data you supplied) will survive termination.
13. CHANGES
We may update these Terms. We will provide notice of material changes (e.g., email or in-product notice). Continued use after the effective date may constitute acceptance.
14. GOVERNING LAW
These Terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-law rules.
